TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") govern your access to and use of the Subtenders platform, operated by Subtenders Technologies Inc. ("Subtenders", "we", "us", or "our"), a company incorporated under the laws of British Columbia, Canada. By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use the platform.
2. DESCRIPTION OF SERVICE
Subtenders is an online marketplace that connects builders, general contractors, and property developers ("Builders") with subcontractors, tradespeople, and suppliers ("Contractors"). The platform allows Builders to post construction jobs, receive bids, and hire Contractors. Contractors can create profiles, browse job listings, submit bids, and build portfolios.
Subtenders is a platform only. We do not employ, endorse, or guarantee any Contractor or Builder. We are not a party to any agreement between Builders and Contractors and are not responsible for the quality, safety, legality, or completion of any work performed.
3. ACCOUNT REGISTRATION
To use certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your password and account credentials.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account.
You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. USER CONDUCT
You agree not to:
- Post false, misleading, or fraudulent information, including fake reviews or credentials.
- Impersonate another person or business, or claim credentials you do not hold.
- Use the platform for any illegal purpose or in violation of any applicable laws or regulations.
- Harass, threaten, or abuse other users of the platform.
- Attempt to gain unauthorized access to other accounts or platform systems.
- Scrape, collect, or harvest data from the platform without written authorization.
- Circumvent the platform to avoid fees or engage in off-platform transactions for jobs initiated on Subtenders.
5. JOB POSTINGS AND BIDS
Builders are responsible for the accuracy of their job postings, including scope, budget, timelines, and requirements. Contractors are responsible for the accuracy of their bids, including pricing, availability, and qualifications.
Subtenders does not guarantee that any job will receive bids or that any bid will be accepted. The decision to hire or accept a bid is solely between the Builder and Contractor.
6. BADGES AND VERIFICATION
Subtenders offers verified badges (e.g., Insured, Bonded, WCB Registered) based on documentation submitted by Contractors and reviewed by our team. Badges indicate that documentation was reviewed at a point in time and do not constitute an ongoing guarantee of a Contractor's credentials, insurance status, or qualifications. Users should independently verify credentials before hiring.
7. REVIEWS AND FEEDBACK
Users may leave reviews and ratings for other users based on their experience. By submitting a review, you represent that it is based on a genuine interaction and is accurate to the best of your knowledge. You agree not to:
- Post fake, misleading, or incentivized reviews (including reviews for your own business or from individuals who did not participate in the project).
- Post defamatory, abusive, or threatening content in reviews.
- Offer compensation or incentives in exchange for positive reviews.
Subtenders reserves the right to remove reviews that violate these Terms, are flagged as fraudulent, or are the subject of a valid legal complaint. We are not responsible for the accuracy or content of user-submitted reviews. Removal of a review is at our sole discretion and does not imply liability.
8. FEES AND PAYMENTS
Basic use of Subtenders is free. Premium features may be offered under a paid subscription ("Pro Plan"). Fees for the Pro Plan are displayed at the time of purchase and are billed through our payment processor, Stripe. All fees are in Canadian dollars (CAD) unless otherwise stated.
Subscriptions renew automatically unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Refunds are provided in accordance with applicable consumer protection laws.
9. INTELLECTUAL PROPERTY
The Subtenders name, logo, design, and all platform content created by us are the property of Subtenders Technologies Inc. and are protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works from our platform content without written permission.
Content you post on the platform (profiles, portfolio projects, bids, reviews) remains yours, but you grant Subtenders a non-exclusive, worldwide, royalty-free license to display, distribute, and promote that content on the platform and in marketing materials.
10. DISCLAIMER OF WARRANTIES
The platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, Subtenders Technologies Inc. disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
Without limiting the foregoing, Subtenders does not warrant that: (a) the platform will be uninterrupted, error-free, or secure; (b) any information provided by users (including credentials, qualifications, reviews, or bid details) is accurate, complete, or reliable; (c) any contractor or builder on the platform is licensed, insured, qualified, or suitable for any particular project; or (d) any work performed as a result of connections made on the platform will meet your expectations or standards.
You assume all risk arising from your use of the platform and your interactions with other users. You are solely responsible for independently verifying the credentials, qualifications, and suitability of any contractor or builder before entering into any agreement.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Subtenders Technologies Inc., its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform, including but not limited to: disputes between builders and contractors, quality of work performed, property damage, personal injury, financial loss, loss of data, loss of profits, or business interruption, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if Subtenders has been advised of the possibility of such damages.
Our total aggregate liability for any and all claims arising from these Terms or your use of the platform shall not exceed the greater of: (a) the amount you paid to Subtenders in the 12 months preceding the claim, or (b) one hundred Canadian dollars ($100 CAD).
Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Subtenders Technologies Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) any content you post or submit on the platform; or (e) any dispute between you and another user.
13. DISPUTE RESOLUTION AND ARBITRATION
Informal Resolution. Before filing any formal claim, you agree to contact us at info@subtenders.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved without formal proceedings.
Binding Arbitration.If we cannot resolve a dispute informally, you and Subtenders agree that any dispute, claim, or controversy arising from or relating to these Terms or the platform shall be resolved by binding arbitration administered in accordance with the rules of the British Columbia International Commercial Arbitration Centre (BCICAC), or if the claimant is located in the United States, the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator in English. The arbitrator's decision shall be final and binding.
Class Action Waiver.You and Subtenders agree that each may bring claims against the other only in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
Exceptions. Either party may bring claims in small claims court if eligible. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
14. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. For users located in the United States, to the extent that applicable US federal or state law conflicts with BC law, the applicable US law shall govern only to the extent required by that jurisdiction's mandatory consumer protection statutes.
15. TERMINATION
We may suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including disclaimer of warranties, limitation of liability, indemnification, dispute resolution, and governing law.
16. ELECTRONIC COMMUNICATIONS AND ANTI-SPAM
By creating an account, you consent to receive transactional emails from Subtenders related to your account activity, including but not limited to: bid notifications, job alerts, message notifications, badge verification updates, and account security notices. These transactional messages are necessary for the operation of the platform and are not considered commercial electronic messages (CEMs) under Canada's Anti-Spam Legislation (CASL).
With your separate, express consent, we may also send you commercial electronic messages including: marketing emails, newsletters, promotional offers, platform updates, tips and best practices, and partner offers. You may provide or withdraw this consent at any time.
Your rights under CASL and CAN-SPAM:
- You can unsubscribe from marketing emails at any time using the "Unsubscribe" link in every commercial email.
- Unsubscribe requests are processed within 10 business days as required by CASL.
- You can manage your email preferences from your account settings.
- Unsubscribing from marketing emails will not affect transactional notifications related to your account activity.
- We will never send commercial emails without your prior consent.
All commercial electronic messages from Subtenders will identify Subtenders Technologies Inc. as the sender, include our contact information, and provide a functioning unsubscribe mechanism, in compliance with CASL (Canada), CAN-SPAM (United States), and applicable provincial and state regulations.
17. THIRD-PARTY LINKS AND CONTENT
The platform may contain links to third-party websites, including contractor websites, supplier pages, mapping services, and external resources. These links are provided for convenience only. Subtenders does not control, endorse, or assume responsibility for the content, privacy practices, or availability of any third-party website.
Your interactions with third-party websites are solely between you and the third party. We encourage you to review the terms and privacy policies of any third-party website before providing personal information or engaging in transactions.
18. FORCE MAJEURE
Subtenders shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemics, power outages, internet or telecommunications failures, cyberattacks, labour disputes, or disruptions to third-party services on which the platform relies.
19. CHANGES TO TERMS
We may update these Terms from time to time. We will notify registered users of material changes via email or through the platform. Your continued use of Subtenders after changes are posted constitutes your acceptance of the updated Terms.
20. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
21. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Subtenders Technologies Inc. regarding your use of the platform. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
